How does Gilead collect information online?

Gilead collects information in two ways:

Personal Information You Submit:

Gilead collects Personal Information that you enter into data fields on Gilead Websites. For example, you may submit your name, postal address, email address, telephone number, or other information in order to receive information about various subjects, register for Gilead programs, contact Gilead customer service, or respond to Gilead surveys. In addition, Gilead may consolidate information in a non-identifiable form (aggregate/anonymise data) to help Gilead better design Gilead products and services, to enhance Gilead's research activities, and to facilitate other business functions. To protect your privacy, you should not provide Gilead with any information that is not specifically requested.

Passive Collection of Unidentifiable Information:

Gilead Websites may collect information about your visits to Gilead Websites without you actively submitting such information. Unidentified information may be collected using various technologies, such as cookies and web beacons. Cookies are small text files that are transferred to your computer's hard disk by a website. Web beacons (also referred to as GIF files, pixels, or Internet tags) help Gilead understand how you navigate around the Gilead Websites. For example, so long as you are logged in to Facebook, every time you land on a webpage that has a Facebook widget, Facebook will know you are on that webpage. Gilead does not control the privacy practices of these third parties.

In what circumstances and for what purposes might Gilead collect and use Personal Information through Gilead Websites?

As noted above, Gilead will collect information about how you interact with the Gilead Websites. Usually this information is unidentified and is limited to maintaining the integrity of, or making improvements, to the Gilead Website. Where Personal Information is submitted by you, Gilead will only use this Personal Information to respond to your questions and to provide you with efficient customer service, except as otherwise permitted or required by law. After you have entered Personal Information into a form or data field on a Gilead Website, Gilead may use the automated technologies noted above to allow that Gilead Website to “remember” your personal preferences, such as sections of that Gilead Website that you visit frequently and, if you choose, your user ID by combining the previously unidentified information with your Personal Information. Consent will be obtained for such use in countries or regions where it is required.

Gilead will only use Personal Information to respond to your requests and for other permitted Gilead business purposes, which may include offering you the opportunity to receive notices of information regarding Gilead’s products or services, inviting you to participate in surveys about Gilead’s products or services, or notifying you about special events that may be of interest to you. Gilead may send you service-related announcements on rare occasions when it is necessary to do so. For instance, if a Gilead service is temporarily suspended for maintenance, Gilead might send you an e-mail notification. Generally, you may not opt-out of these non-promotional communications, but you have the option to deactivate your account.

If you choose to use Gilead’s email page feature to receive email alerts, Gilead will send you an e-mail to validate your registration and confirm that you are signing up to receive such emails. If you wish to no longer receive such emails, you may follow the instructions provided in the email in order to request that Gilead stop sending you email alerts.

As allowed by applicable local laws, some Gilead Websites include the opportunity to send another individual a link to a Gilead webpage. If you choose to use Gilead’s e-mail page feature to send a link to a Gilead page, Gilead will ask you for the recipient’s email address. Gilead will automatically send the recipient a one-time email inviting him or her to read the featured page. This information is used only for the delivery of this specific email message, and is not stored or used for any other purpose.

Gilead may share, subject to applicable laws and regulations, Personal Information with Agents who assist Gilead with its business activities related to the purposes for which the information was provided. Such Agents may include, but are not limited to, service providers that administer Gilead’s email subscriptions and requests for information, or provide services. Gilead requires such Agents to keep Personal Information confidential and to use or disclose Personal Information only to perform functions for Gilead and in accordance with Gilead’s instructions and this Website Privacy Statement. Some of these Agents may be based outside of the country in which the Personal Information was collected. To the extent that any Personal Information is sent across national borders, it will be subject to the laws of the country in which it is held, and may be subject to disclosure to the governments, courts or law enforcement or regulatory agencies of the destination country, pursuant to the laws of such country.

When does Gilead disclose Personal Information, and why?

Gilead may disclose Personal Information, without obtaining the individual’s consent, in order to respond to authorised information requests from government authorities; or when otherwise required or permitted by law and/or to comply with a judicial proceeding, court order, or legal process.

 Gilead may also use or disclose Personal Information, in accordance with applicable law: (i) in connection with a contemplated or actual reorganisation of its business; (ii) when seeking financing or in connection with an assignment, sale, or other transaction involving the disposal of all or part of its business or assets, including for the purpose of permitting the parties to conduct due diligence so as to determine whether a transaction should proceed; and (iii) on completion of the transaction. In any assignment or sale, the assignee or purchaser may use and disclose Personal Information collected by Gilead for substantially the same purposes as described in this Website Privacy Statement.  

Gilead will not disclose your Personal Information with third parties except as otherwise stated in this Website Privacy Statement. 

What choices do I have about how Gilead Websites collect and use Personal Information about me?

You may always limit the amount and type of Personal Information that Gilead receives about you by choosing not to enter Personal Information into forms or data fields on Gilead Websites. Some of Gilead's online services can only be provided to you if you provide Gilead with appropriate Personal Information. Various Gilead Websites may ask whether you wish to opt-in to Gilead's contact lists or programmes for offers, promotions, and additional services that may be of interest to you.

You may also be provided with preference questions or preference boxes allowing you to indicate that you do not want Gilead Websites to use tracking technologies, such as cookies, to "remember" your Personal Information, such as user IDs or mailing addresses, on return visits. However, Gilead Websites that use tracking technologies to collect unidentified information do not generally provide you with the ability to opt-out of the tracking technologies. Some Internet browsers allow you to limit or disable the use of tracking technologies that collect unidentified information, such as a “Do Not Track” (“DNT”) setting. Currently, the Gilead Websites are not compatible with the DNT standard in its current release. However, you should remember that Gilead does not collect or disclose your browsing behaviour for third-party marketing purposes. 

How does Gilead secure Personal Information collected on Gilead Websites?

It is Gilead’s practice to secure each Gilead Website using commercially reasonable technical, procedural, and administrative safeguards proportional to the sensitivity and volume of data processed. However, the confidentiality of Personal Information transmitted over the Internet cannot be guaranteed. Gilead urges you to exercise caution when transmitting Personal Information over the Internet. Gilead cannot absolutely guarantee that unauthorised third parties will not gain access to your Personal Information; therefore, when submitting Personal Information to Gilead Websites, you must weigh both the benefits and the risks. Gilead has no control over third-party websites or their content and Gilead’s Website Privacy Statement does not apply to such websites. You should check the privacy policies of third-party websites before submitting Personal Information. This also applies to those business partners or social media services that have sharing tools on the Gilead Websites (e.g. Facebook). As Gilead does not control the privacy practices of these third parties, you should review the privacy settings you have set up directly with them. 

How does Gilead protect the privacy of children on Gilead Websites?

Gilead does not knowingly collect or use any Personal Information from children on Gilead Websites (“children” are individuals who have not reached the age of majority in their residential jurisdictions). Gilead does not knowingly allow children to order Gilead’s products, communicate with Gilead, or use any of Gilead’s online services. Should you suspect that a child of whom you are the parent or legal guardian has provided us with Personal Information, please contact Gilead using one of the methods specified below and Gilead will work with you to address this issue.

Gilead Privacy Statement

In the regular course of business, Gilead interacts and communicates directly with healthcare professionals, customers, clinical trial participants, consumers, business partners, regulatory authorities, and others. Through these interactions and communications, Personal Information may be provided to Gilead and processed electronically and/or manually. Gilead respects individual privacy and values the confidence of such individuals. This Privacy Statement sets forth Gilead's privacy principles with respect to Personal Information, including the implementation of privacy procedures and technical security measures to keep Personal Information private and secure, which Gilead follows in its normal course of business. Gilead will collect, use and disclose Personal Information in accordance with applicable privacy or data protection laws and this Privacy Statement.

Scope

This Privacy Statement applies to all Personal Information received by Gilead (including Personal Information received by third-party organisations or individuals acting as Agents of Gilead) as part of Gilead's business operations, in any format, including electronic or paper. This Privacy Statement does not apply to Personal Information received by Gilead (including Personal Information received by third-party organisations or individuals acting as Agents of Gilead), as part of Gilead’s management of its employees, contractors, or other individuals who perform work for, or on behalf of Gilead. This Privacy Statement does not apply to Personal Information collected by Gilead Websites as the Gilead Website Privacy Statement would then be applicable.

Definitions

For the purposes of this Privacy Statement, the following definitions shall apply:

"Agent" means any third party that collects and/or uses Personal Information under the instructions of, and solely for, Gilead or to which Gilead discloses Personal Information for use on Gilead's behalf.

"Gilead" means Gilead Sciences Europe Ltd.

"Gilead Website(s)" means websites controlled by Gilead.

"Personal Information" means any information or set of information that identifies or is used by or on behalf of Gilead to identify an individual. Examples of Personal Information include an individual’s name, postal address, email address, and telephone number. Personal Information does not include any information that is anonymised, or non-personal information that has not been combined with Personal Information to allow identification of an individual.

"Sensitive Personal Information" is a Gilead defined subset of Personal Information (similar to the UK defined Sensitive Personal Data, with additional attributes). Sensitive Personal Information includes information such as government unique identifier or financial information, race, ethnic origin, political options, religious or philosophical beliefs, trade union membership or information that concerns health, sexual orientation or criminal allegations (convictions or otherwise).

Gilead Privacy Principles

NOTICE: The collection, use, and/or disclosure of Personal Information in the business context are essential to the conduct of many of Gilead's business functions. Gilead may collect Personal Information from individuals directly and/or from third parties, where Gilead has obtained the individuals’ consent to do so or as otherwise required or permitted by law. 

Where Gilead collects Personal Information directly from individuals, Gilead will inform them about the purposes for which it collects and uses their Personal Information, the types of third parties with which Gilead shares Personal Information, and the choices and means, if any, Gilead offers individuals for limiting the use or disclosure of their Personal Information. Notice will be provided in clear and conspicuous language when individuals are first asked to provide Personal Information to Gilead, or as soon as practicable thereafter, and in any event before Gilead uses or discloses the information for a purpose other than that for which it was originally collected. Where prescribed by applicable local laws, consent will be obtained for such disclosures. In these circumstances, the form of consent that Gilead seeks, including whether it is express or implied, will largely depend on the sensitivity of the Personal Information and the reasonable expectations the individual might have in the circumstances.

For example, without limitation, Gilead may collect Personal Information for the purposes of disease management, education, decision support systems, requests for product information, clinical trials, registration for Gilead programmes, customer service support, marketing or Gilead surveys. Individuals should not provide Gilead with any Personal Information that is not specifically requested. Where Gilead receives Personal Information from its subsidiaries, affiliates, or other entities, it will use or disclose such Personal Information in accordance with the notices provided at the time the Personal Information was collected, the limitations on such use or disclosure authorised or consented to by the individuals to whom such Personal Information relates, or as instructed, by such individual at a later date.

Gilead may consolidate the Personal Information of individuals who provide such Personal Information to Gilead consistent with the purposes for which the Personal Information was collated. In addition, Gilead may consolidate information in a non-identifiable form (aggregate/anonymise data) to help Gilead better design Gilead products and services, to enhance Gilead’s research activities, and to facilitate other business functions.

CHOICE: As appropriate, Gilead will offer individuals the opportunity to choose whether their Personal information is (a) to be disclosed to a non-Agent third party, or (b) to be used for a purpose other than the purpose for which it was originally collected and/or consented to by the individual, except as otherwise provided by law. Gilead may be prevented from providing certain services to individuals who do not choose to allow the use or disclosure of their Personal Information. Gilead will provide more specific notice of the choice mechanisms, and the consequences for exercising such choice, at the time that Gilead collects Personal Information.

Notwithstanding the foregoing, Gilead may share, subject to applicable laws and regulations, Personal Information with Agents who assist Gilead with its business activities related to the purposes for which the information was provided. Such Agents may include, but are not limited to, service providers that administer Gilead’s email subscriptions and requests for information, or provide services. Gilead requires such Agents to keep Personal Information confidential and to use or disclose Personal Information only to perform functions for Gilead and in accordance with Gilead’s instructions and this Privacy Statement. 

For Sensitive Personal Information, Gilead will give individuals the opportunity to affirmatively and explicitly authorise or consent to the disclosure of their Sensitive Personal Information to a non-Agent third party or the use of their Sensitive Personal Information for a purpose other than the purpose for which it was originally collected or authorised by the individual.

Gilead may disclose Personal Information, without obtaining the individual’s consent, in order to respond to authorised information requests from government authorities; or when otherwise required or permitted by law and/or to comply with a judicial proceeding, court order, or legal process.

DATA INTEGRITY: Gilead will use Personal Information only in ways that are compatible with the purposes for which it was collected, or consented to by the individual. Gilead will have appropriate steps in place to ensure that Personal Information is relevant to its intended use, accurate, complete, and current. Gilead will only store Personal Information for as long as it is needed to fulfil the purposes for which it was collected, subject to applicable data retention periods imposed upon Gilead by applicable law.

TRANSFERS TO AGENTS: Gilead will obtain assurances from its Agents that they will safeguard Personal Information consistent with this statement. An example of appropriate assurances that may be provided by Agents include a contractual obligation that the Agents provide at least the same level of protection as is required by Gilead's privacy principles. Where Gilead has knowledge that an Agent is using or disclosing Personal Information in a manner contrary to this Privacy Statement, Gilead will take appropriate steps to prevent or stop the use or disclosure.

In addition, Gilead may send Personal Information outside of the country for the purposes set out above, including for process and storage by Agents in connection with such purposes.  However, to the extent that any Personal Information is sent out of the country, it is subject to the laws of the country in which it is held, and may be subject to disclosure to the governments, courts or law enforcement or regulatory agencies of such other country, pursuant to the laws of such country.

ACCESS AND CORRECTION: Access to Personal Information is limited to a restricted number of Gilead employees whose duties reasonably require such information, Agents with whom Gilead contracts to carry out business activities for Gilead, and, with an individual's consent, certain companies with which Gilead may conduct joint programmes. Gilead trains its employees about the importance of privacy and how to handle and manage Personal Information appropriately and securely. Personal Information handled by Gilead Agents, or companies with which Gilead may conduct joint programs, is governed by this Privacy Statement.

Upon written request, Gilead will grant individuals’ access to Personal Information that it holds about them, subject to any legal restrictions. In addition, Gilead will permit individuals to correct, amend, or delete information that is demonstrated to be inaccurate or incomplete, subject to certain exceptions provided by law. In some instances, applicable law or regulatory requirements allow or require Gilead to refuse to provide some or all of an individual's Personal Information. In addition, Personal Information may have been destroyed, erased or made anonymous in accordance with Gilead's record retention obligations and practices. In the event that Gilead cannot provide an individual with access to his/her Personal Information, Gilead will endeavour to provide the individual with an explanation, subject to any legal or regulatory restrictions.

Individuals may, at any time revoke their consent to collect, use or disclose their Personal Information. All requests to revoke consent should be progressed with Gilead as directed below under ENFORCEMENT.

SECURITY: Gilead uses physical, technical, and managerial safeguards to keep your Personal Information protected from unauthorised access, disclosure, alteration, and destruction. Such measures may include, but are not limited to the encryption of communications via SSL, encryption of information while it is in storage, firewalls, access controls, separation of duties, and similar security protocols. However, Gilead cannot absolutely guarantee the security of your Personal Information.

ENFORCEMENT: Gilead will conduct periodic compliance audits of its relevant privacy practices to verify adherence to this Privacy Statement.

Independent Recourse Mechanism

Gilead will investigate and attempt to resolve any complaints and disputes regarding collection, use and disclosure of Personal Information in accordance with the principles contained in this Privacy Statement. Complaints or disputes that cannot be resolved between Gilead and the complainant will be handled through the TRUSTe dispute resolution process.

Gilead has engaged TRUSTe as an independent recourse mechanism, in alignment with the US-EU Safe Harbor Framework. TRUSTe is an independent organisation, whose mission is to build user trust and confidence by promoting the use of fair information practices. Gilead Privacy Statement

In the regular course of business, Gilead Sciences, Inc., including its wholly owned subsidiaries and successors (together referred to as “Gilead”) interacts and communicates directly with health care professionals, customers, clinical trial participants, consumers, business partners, regulatory authorities, and others. Through these interactions and communications, personal information may be provided to Gilead and processed electronically and/or manually. Gilead respects individual privacy and values the confidence of such individuals. This Privacy Statement sets forth Gilead's privacy principles with respect to Personal Information, including the privacy procedures and technical security measures Gilead follows in its normal course of business to keep Personal Information private and secure.

Gilead participates in both the EU – U.S. Privacy Shield and U.S. – Swiss Privacy Shield Frameworks. Gilead acknowledges its commitment to comply with the EU – U.S. Privacy Shield and U.S. – Swiss Privacy Shield Principles (“Principles”) for all Personal Information received from the EU or Switzerland which was provided in reliance on Privacy Shield. Gilead will collect, use and disclose Personal Information received from the EU or Switzerland only in accordance with the principles outlined in this Privacy Statement, the above-noted Privacy Shield Principles, and legal requirements. For purposes of Privacy Shield compliance enforcement, Gilead acknowledges that it is subject to the investigatory and enforcement powers of the United States Federal Trade Commission (FTC).

Scope

This Privacy Statement applies to Personal Information received by Gilead (including Personal Information received by third-party organizations or individuals acting as Agents of Gilead) from health care professionals, customers, clinical trial participants, consumers, business partners, and other individuals, in any format, including electronic and paper, as part of Gilead's business operations. Types of third-party organizations include Gilead subsidiaries and business partners, a current list of which is available upon request.

Definitions

For the purposes of this Privacy Statement, the following definitions shall apply:

“Affiliate” means any third party which is under common control with Gilead.

“Agents” means a third party who represents and acts for Gilead pursuant to a duly executed contract or is otherwise duly authorized by Gilead to perform such representation and acts.

“Service Provider”means any consultants and contractors (including temporary employees) about whom Gilead has Personal Information, who are providing or have provided consulting or contracting services to Gilead.

"Gilead" means Gilead Sciences, Inc., its successors and subsidiaries.

“Gilead Website(s)” means websites controlled by Gilead and subject to the Gilead Website Privacy Policy.

“Personal Information”means any information or set of information that relates to a Data Subject. Identification of an individual can be either direct or indirect and can be made by or on behalf of Gilead.

“Pseudonymization” means the processing of Personal Information in such a manner that such information can no longer be attributed to a specific Data Subject without the use of additional information, provided that such additional information is kept separately and is subject to technical and organizational measures to ensure that the PI is not attributed to a Data Subject.

“Principles” means the EU – U.S. Privacy Shield and U.S. – Swiss Privacy Shield Principles.

“Sensitive Personal Information (SPI)” means a Gilead-defined subset of Personal Information “PI” (similar to the EU-defined Sensitive Personal Data, with additional attributes), SPI includes information revealing unique government identifiers, financial information, racial or ethnic origin, political opinions, religious or philosophical beliefs, trade union membership, genetic data, biometric data, data concerning health, sex life or sexual orientation, or any criminal offenses (alleged or otherwise).

Gilead Privacy Statement

Notice:

The collection, processing, storage, use, and disclosure of Personal Information in the business context is essential to the conduct of many of Gilead’s business functions. Gilead may collect, process, store, use, and disclose Personal Information from individuals directly and/or from third parties, subject to applicable law.

PURPOSE FOR COLLECTION, USE AND DISCLOSURE OF PERSONAL INFORMATION

Gilead processes Personal Information where you consent to us doing so. However, there are a number of instances where Gilead does not require your consent to engage in the processing or disclosure of Personal Information. Gilead may not solicit your consent for the processing or transfer of Personal Information for those purposes which have a statutory basis, such as:

  • The transfer or processing is necessary for the performance of a contract between you and Gilead (or one of its affiliates);
  • The transfer or processing is necessary for the performance of a contract, concluded in your interest, between Gilead (or one of its affiliates) and a third party;
  • The transfer or processing is necessary, or legally required, on important public interest grounds, for the establishment, exercise, or defense of legal claims, or to protect your vital interests; or
  • The transfer or processing is required by applicable law.

Gilead collects, uses and discloses your Personal Information in its normal course of business for the following purposes:

  • Establishing and maintaining communications with you;
  • Where you have requested participation in a clinical trial with Gilead or one of Gilead’s partners;
  • Disease management, education, or decision support systems related to the use of Gilead products or services;
  • Where you have requested a service from Gilead, assisting you in the completion of your application, the assessment of your eligibility for any such requested service, the processing and maintenance of the service, as well as any applicable renewal of such service;
  • Responding to your inquiries about applications, trials and other services;
  • Making proposals for future service needs;
  • Allowing our affiliated companies to notify you of certain products or services offered by our affiliated companies;
  • Processing transactions through service providers;
  • Meeting legal, security, processing, and regulatory requirements;
  • Protecting against fraud, suspicious or other illegal activities; and
  • Compiling statistics for analysis of our sites and our business.

WHAT DATA WE COLLECT

When interacting with Gilead, you may choose to provide us with information to help us serve your needs. The Personal Information that we collect will depend on how you choose to interact with Gilead.

Where you participate in Clinical Trials

If you participate in a clinical trial with Gilead, or one of our partners, we will collect Personal Information about you as is necessary to fulfill the purpose of the clinical trial. This can include SPI such as biological and medical information about you. However, as required by the Principles, Personal Information will be Pseudonimized, as appropriate, to both protect your privacy as well as maintain the integrity of the clinical trial.

Where you request information about our services

If you request further information about our services, we require you to submit your name, e-mail address, the name of your organization, and the country in which you are based so we may send you the material you have requested, and to enable us to identify whether you have an existing relationship with Gilead.

Where you register with us and/or request services

If you register with us, or request a service available on the Site, we may ask you for your name, e-mail address, country, telephone number and the reason for your communication; as well as information about your position, organization, and such other information as is reasonably necessary so that we can provide you with the service. On the data submission form, we shall indicate by way of an asterisk, which information is optional and which information is mandatory. This information can include information you provide on applications or other forms, which may include your name, address, email address, and payment information.

Individuals should not provide Gilead with any Personal Information that is not specifically requested. Where Gilead receives Personal Information from its subsidiaries, affiliates, or other entities, it will use or disclose such Personal Information in accordance with the above procedures.

Gilead may consolidate or aggregate Personal Information in a non-identifiable form (anonymized/Pseudonymized data) to help Gilead improve product design and services, to enhance Gilead’s research activities, and to facilitate other business functions.

DISCLOSURE OF INFORMATION TO OTHERS

We do not disclose any Personal Information about you to any third parties except as stated in this Privacy Statement or as notified to you, or as otherwise permitted by law, or authorized by you.

Generally

Third parties to whom we disclose information are required by law and contractual undertakings to keep your Personal Information confidential and secure; and to use and disclose it for purposes that a reasonable person would consider appropriate in the circumstances, in compliance with all applicable legislation, which purposes are as follows:

  • As is necessary to fulfill a clinical trial to which you are a participant;
  • To provide the products and services you have requested from us;
  • To notify you, or allow our affiliated companies to notify you of certain products or services offered by our affiliated companies;
  • For legal, regulatory, and related purposes; and
  • To process transactions through data processing service providers.

Affiliate Sharing

In the normal course of performing services for our clients, Personal Information may be shared within Gilead and its affiliates for research and statistical purposes, drug safety and efficacy purposes, disease management, system administration and crime prevention or detection, or any purpose otherwise identified in this Privacy Statement.

Service Providers

Because a number of the service providers we use in pursuance of the purposes mentioned above are located in countries other than your own, your Personal Information will be processed and stored inside those other countries, and those countries’ governments, courts, or law enforcement or regulatory agencies may be able to obtain disclosure of your Personal Information under local laws.

Business Transactions

As we continue to develop our business, we might sell or buy assets. In such transactions, user information, including Personal Information, generally is one of the transferred business assets. Also, if either Gilead itself or substantially all of Gilead assets were acquired, your Personal Information may be one of the transferred assets. Therefore, we may disclose and/or transfer your Personal Information to a third-party in these circumstances.

Other Legally Required Disclosures

Gilead reserves the right to disclose without your prior permission any Personal Information about you or your use of this Site if Gilead has a good faith belief that such action is necessary to: (a) protect and defend the rights, property or safety of Gilead, employees, other users of this Site, or the public; (b) enforce the terms and conditions that apply to use of this Site; (c) as required by a legally valid request from a competent governmental authority and/or to comply with a judicial proceeding, court order, or legal process; or (d) respond to claims that any content violates the rights of third parties. We may also disclose Personal Information as we deem necessary to satisfy any applicable law, regulation, legal process, or governmental request.

Choice:

Where Gilead relies on consent for the fair and lawful processing of Personal Information, the opportunity to consent will be provided prior to when the Personal Information in question is collected. Your consent may be given through your authorized representative such as a legal guardian, agent, or holder of a power of attorney. Where Gilead relies on consent, you will be entitled to withdraw that consent at any time.

For SPI, Gilead will provide individuals the opportunity to affirmatively and explicitly authorize or consent to the collection, processing, transfer, or disclosure of their SPI to a non-Agent third party or the use of their SPI for a purpose other than the one for which the individual originally consented.

Gilead will not disclose your Personal Information to third parties except as otherwise stated in this Privacy Statement or otherwise notified to you

Gilead maintains servers and other storage facilities in the United States, EU, and Asia. Gilead may transfer Personal Information outside of its country of origin for the purposes, and in the manner, set out above; including for processing and storage by Service Providers and Affiliates in connection with such purposes.  In all situations, Gilead takes reasonable steps to ensure that your privacy is protected.  Such steps include, but are not limited to: implementing privacy, security, and contractual controls; as well as steps noted above, as required by applicable law.  To the extent that any Personal Information is sent out of an individual’s country, it is subject to the laws of the country in which it is held, and may be subject to disclosure to the governments, courts, or law enforcement or regulatory agencies of such other country, pursuant to the laws of such country, consistent with the Principles. 

Accountability for Onward Transfers: Gilead will obtain assurances from its Service Providers and Affiliates that they will safeguard Personal Information consistent with this Privacy Statement.  An example of appropriate assurances that may be provided by Service Providers and Affiliates includes a contractual obligation that they provide at least the same level of protection as is required by Gilead’s privacy principles set out in this Privacy Statement.  Where Gilead has knowledge that a Service Provider or Affiliate is using or disclosing Personal Information in a manner contrary to this Privacy Statement, Gilead will take appropriate steps to prevent or stop the use or disclosure.  Gilead also complies with the Privacy Shield Principle regarding liability for onward transfers.

Security

Gilead has implemented reasonable physical, technical and managerial controls and safeguards to keep your Personal Information protected from unauthorized access, disclosure, alteration, and destruction.  Such measures may include, but are not limited to: the encryption of communications via SSL, encryption of information while it is in storage, firewalls, access controls, separation of duties, and similar security protocols. 

Access to Personal Information is limited to a restricted number of Gilead employees whose duties reasonably require such information, Agents with whom Gilead contracts to carry out business activities for Gilead, and, with an individual’s consent, certain companies with which Gilead may conduct joint programs.  Gilead trains its employees on the importance of privacy and how to handle and manage Personal Information appropriately and securely.  Personal Information handled by Agents, or companies with which Gilead may conduct joint programs, is governed by this Privacy Statement and the Principles. 

Data Integrity and Purpose Limitation

Gilead will use Personal Information only in ways that are compatible with the purposes for which it was collected, or consented to by the individual.  Gilead will have appropriate steps in place to ensure that Personal Information is relevant to its intended use, accurate, complete, and current.  Gilead will only store Personal Information for as long as it is needed to fulfill the purposes for which it was collected, subject to applicable data retention periods imposed upon Gilead by applicable law. This may mean that your Personal Information is stored by Gilead for a number of years, depending on the purpose and need for that data to be processed. Your Rights

Where individuals have rights under laws applicable to them and upon written request, Gilead will grant individuals access to Personal Information that it holds about them, subject to any legal restrictions.  In addition, Gilead will permit individuals to correct, amend, or delete information that is demonstrated to be inaccurate or incomplete or to object to certain types of processing of such information or to data portability, in certain circumstances and subject to certain exceptions provided by law.    Gilead may not be able to comply with a request where Personal Information has been destroyed, erased or made anonymous in accordance with Gilead’s record retention obligations and practices.  In the event that Gilead cannot provide an individual with access to his/her Personal Information, Gilead will endeavor to provide the individual with an explanation, subject to any legal or regulatory restrictions.

Recourse, Enforcement and Liability

Individual Complaint

Individuals may contact Gilead regarding any question or complaint regarding the collection, processing, and transfer of their Personal Information by completing the Gilead Privacy Inquiry Form and by emailing it to privacy@gilead.com. Gilead will promptly investigate and respond to complaints within 45 calendar days of their receipt.  Gilead will attempt to resolve complaints, disputes and requests to revoke consent regarding collection, processing, transfer, and disclosure of Personal Information in accordance with the principles contained in this Privacy Statement, and the Principles.

Gilead will conduct periodic compliance audits of its relevant privacy practices to verify adherence to this Privacy Statement.

Independent Recourse Mechanism

If you have an unresolved privacy or data use concern that we have not addressed satisfactorily, please contact our U.S.-based third party dispute resolution provider (free of charge), TRUSTe, at https://feedback-form.truste.com/watchdog/request.

Binding Arbitration

In the event that you cannot fully resolve your complaint through the above mechanisms, it is possible that you may use binding arbitration as a final resort.  In order to invoke this arbitration option you must take the following steps prior to initiating an arbitration claim: (1) raise the claimed violation directly with Gilead and afford us an opportunity to respond to the issue within 45 days; (2) make use of the independent recourse mechanism, in this case TRUSTe, which is at no cost to you; and (3) raise the issue through your Data Protection Authority to the Department of Commerce and afford the Department of Commerce an opportunity to use best efforts to resolve the issue.

This arbitration option may not be invoked if your same claimed violation (1) has previously been subject to binding arbitration; (2) was the subject of a final judgment entered in a court action to which you were a party; or (3) was previously settled by you and us.  In addition, you may not invoke this option where the Data Protection Authority of the country of your residence already has jurisdiction to resolve your complaint.

You may initiate binding arbitration, subject to the pre-arbitration requirements provision above, by delivering a “Notice” to the organization.  The Notice shall contain a summary of steps taken to resolve the claim, a description of the alleged violation, and, at the choice of the individual, any supporting documents and materials and/or a discussion of law relating to the alleged claim.  For more information on how to invoke arbitration under the Privacy Shield Framework, please visit https://www.privacyshield.gov/article?id=ANNEX-I-introduction.

Finally, you may only use binding arbitration to ensure Gilead follows the data handling practices set out in this Privacy Statement.  No other form of remedy is available by any arbitration under this section.
